SEO MASTER AGREEMENT

SEO Agreement

This is an agreement (referred to as the “Agreement”) for Search Engine Optimization (SEO) services provided by Guruwebmedia.com (referred to as the “SEO Consultant”) to clients who purchase any SEO package or service from the website (referred to as the “Client”). The Agreement is effective as of the date when the client purchases the SEO package.

The parties involved in this Agreement are the SEO Consultant and the Client, referred to collectively as the “Parties” and individually as “Party”. The Services provided by the SEO Consultant include Search Engine Optimization and Reporting Services, referred to as the “Services”.

The Client desires to improve the search engine ranking of its website (referred to as the “Project”), and has chosen to avail of the Services provided by the SEO Consultant.

In consideration of the promises and covenants contained herein, the Parties agree to enter into this Agreement. If included in the package purchased by the client, the specific details of the SEO package will be included in this Agreement.

Terms and Conditions

• DEFINITIONS

For the purpose of this Agreement, the following terms and definitions apply:

• Search Engine: A web-based tool that allows users to search for information on the World Wide Web.
• Keyword: A word or phrase used as a search term to retrieve information through search engines.
• Keyword Research: The process used by SEO professionals to find and research search terms that users enter into search engines when looking for products, services, or general information.
• Link Building: The process of acquiring hyperlinks (also known as “backlinks”) from other websites to a website with the goal of improving search engine visibility.
• Search Engine Optimization (SEO): The process of improving the quality of traffic to a website via search engines. SEO includes optimizing website content and structure, keyword research, link building, and other techniques aimed at increasing visibility and ranking on search engine results pages.

• SEO SERVICES

As part of the Project requirements, the SEO Consultant will offer the following SEO services to the Client:

Keyword research: The SEO Consultant will perform research for appropriate and relevant search terms as per the package purchased by the Client. If the package does not include this service, it will not be provided.

Editing and optimizing text: The SEO Consultant will optimize the text on the website for various HTML tags, webpage titles, and texts as per the package purchased by the Client. If the package does not include this service, it will not be provided.

Traffic and ranking reports: The SEO Consultant will develop traffic and ranking reports for the Client based on market competition and trends as per the package purchased by the Client. If the package does not include this service, it will not be provided.

On-page optimization: The SEO Consultant will provide on-page optimization to improve the visibility of the website and increase website traffic as per the package purchased by the Client. If the package does not include this service, it will not be provided.

Backlink acquisition: The SEO Consultant will acquire backlinks from other websites to increase search engine visibility as per the package purchased by the Client. If the package does not include this service, it will not be provided.

Google business listing: The SEO Consultant will list the Client’s business on Google as per the package purchased by the Client. If the package does not include this service, it will not be provided.

Citations build: The SEO Consultant will build citations for the Client as per the package purchased by the Client. If the package does not include this service, it will not be provided.

Business directory submission: The SEO Consultant will submit the Client’s business to business directories as per the package purchased by the Client. If the package does not include this service, it will not be provided.

All services will be provided based on the requirements of the Project and the package purchased by the Client.

• DELIVERABLES

In order to provide the Client with the Services for the Project, the SEO Consultant shall create the following Deliverables according to the package purchased by the Client from Guruwebmedia.com (or none if it’s not included in the package):

• Website Audit Report: The SEO Consultant shall perform an in-depth analysis of the Client’s website to identify areas that need improvement in terms of SEO. This report will include suggestions for optimizing the website for better search engine rankings.

• Competitive Analysis Report: The SEO Consultant shall analyze the websites of the Client’s competitors to identify their strengths and weaknesses in terms of SEO. This report will provide insights that can be used to improve the Client’s website’s search engine rankings.

• Keyword Research Report: The SEO Consultant shall conduct research to identify the most relevant and effective keywords for the Client’s website. This report will provide a list of keywords that can be used to optimize the website’s content and improve search engine rankings.

• Backlink Monitoring: If included in the package purchased by the Client from Guruwebmedia.com, the SEO Consultant shall monitor the backlinks to the Client’s website. This will help identify any negative backlinks that may be affecting the website’s search engine rankings, and take action to remove them.

• DURATION OF THE AGREEMENT

The Project will commence on the effective date and continue for the period specified in the package, unless mutually extended by both parties. In the absence of a specified time frame in the package, the Project will be considered as one month of SEO service.

Authorization:

The Client authorizes the SEO Consultant, SEO Consultant’s Team, and the subcontractors hired by the SEO Consultant for all the packages to perform the following actions:

• Make changes to the headlines, sub-headlines, descriptions, tags, alt text of the images, meta tags, metadata, and schema markup on the website.
• Add, edit, or draft web pages on the website.
• Add, delete, or draft images on the website.
• Modify Google/Bing Business listings according to the SEO Consultant’s strategy.
• Add, edit, or delete posts on the website.
• Add new content to the website in the form of pages and publish new articles.
• Modify the technical files of the website such as robot.txt, .htaccess, etc.
• Submit the site NAP to aggregators provided by the website owner.
• Acquire backlinks from paid or non-paid sources on the internet relevant to the project.
• Obtain citations for the business location or utilize an external service provider for the service.
• Obtain external paid services and platforms to service the client project and reporting.
• Create an admin user on the website to be used by the SEO Consultant, SEO Consultant’s Team, and subcontractors hired by the SEO Consultant.

• PAYMENT

The total fee for the SEO services will be determined by the package selected by the client on the website. By purchasing a package, the client agrees to the terms and conditions outlined in this Agreement. Each package includes a setup fee, and all fees charged through the website’s payment system are non-refundable. Fees will be invoiced and automatically charged for each payment period. The only accepted mode of payment is through the website’s cart system.

• REPORTING

The SEO Consultant agrees to provide the Client with regular reports detailing the activities performed for the duration of the SEO package selected by the client, along with the results of the SEO efforts. The frequency of these reports will be determined by the package selected by the client. Both parties agree to discuss this report and any upcoming tasks related to this Agreement, as needed.

• CLIENT’S RESPONSIBILITY

The Client is responsible for providing the SEO Consultant with all the relevant access required to render the Services as per the terms and conditions of this Agreement. This includes providing login information for the website and Google Business listing, as well as any related keywords and areas of services. The client must provide accurate and up-to-date data to the SEO Consultant to ensure the effectiveness of the SEO services provided.

• REPRESENTATION AND WARRANTY

The SEO Consultant assures that they have the necessary knowledge and skills to provide the Services.

The Client acknowledges that search engine algorithms often change, and these changes may impact the website’s search engine rankings.

The Client acknowledges that the SEO Consultant cannot be held responsible for any events that are beyond their control or ability to prevent.

The SEO Consultant may, from time to time, engage Subcontractors to provide specific SEO services as part of the Services. The SEO Consultant shall obtain written consent from the Client before hiring any Subcontractors.

Both the SEO Consultant and the Client confirm that they have the legal authority to enter into this Agreement.

The SEO Consultant warrants that they will provide Services and fulfill their obligations under this Agreement in a timely and efficient manner.

• DISCLAIMER OF WARRANTY

• The SEO Consultant acknowledges that due to the dynamic nature of SEO, it is not possible to promise specific website traffic numbers or first-page search engine rankings for specific keywords or any ranking or traffic to the website.
• The SEO Consultant has no control over the policies of search engines and shall not be held liable for any exclusion, ban or penalty of the Client’s website from any directory or search engine.
• Search engines may drop listings for no apparent reason even with little update in the algorithm. The SEO Consultant shall not be responsible for any or total dropped listings of the Client’s website.
• The SEO packages offered by the Consultant do not guarantee any rankings or traffic, and the Consultant will not be responsible for any rankings or traffic or any search engine.
• The SEO services provided by the Consultant involve the implementation of SEO practices, which may take weeks or months before any results begin to show or even no results, depending on the search engine algorithm. Therefore, no guarantee of any ranking whatsoever is provided by the Consultant.

• RELATIONSHIP OF PARTIES

The Client is hiring the SEO Professional as an Independent Agreement or under this Agreement.

The Client and the SEO Professional shall not establish any partnership, joint venture, or employer-employee relationship.

• TERMINATION

Either party has the right to terminate this Agreement under the following circumstances:

• Written notice must be given to the other party at least 30 days before the intended termination, with or without any reason.
• If either party breaches any terms or conditions of this Agreement, it may be terminated by the other party.
• The Agreement may be terminated upon completion of the services agreed upon by the Client and the SEO Consultant, and upon the receipt of full payment by the Client.

• CONFIDENTIALITY 

Any information exchanged between the Parties in the course of this Agreement shall be considered confidential unless it is already publicly available or is generally known. Both Parties shall maintain confidentiality during and after the termination of this Agreement. Any information provided by either Party shall only be used for the purpose of delivering Services, unless it is required to fulfill the terms of this Agreement. The disclosing Party’s prior consent is required before any information is shared with a third party.

• LIMITATION OF LIABILITY

This Agreement states that neither party shall be held responsible for any indirect, special, or consequential damages resulting from the execution of this Agreement, including but not limited to loss of profits or equipment, or other costs. This limitation of liability applies regardless of the type of claim, whether in contract, warranty, tort (including negligence), strict liability, or any other legal theory. The Parties agree that this clause is an essential part of this Agreement and that the Agreement would not have been executed without it.

• INDEMNIFICATION

Both parties agree to indemnify and hold each other harmless for any losses, damages, or liabilities without limitation.

• ARBITRATION

If a dispute arises between the parties regarding this Agreement, it will be resolved through arbitration. SEO Consultant will appoint two arbitrators, and the venue of arbitration shall be in Miami, FL. The decision of the arbitrators will be final and binding on both parties.

• MISCELLANEOUS

• Assignability: Upon purchasing an SEO package on guruwebmedia.com, the client will be assigned this Agreement.
• Severability: If any provision of this Agreement is found to be invalid or unenforceable, it will be removed from the Agreement while all other provisions remain valid and enforceable.
• Governing Law: The Agreement will be governed by and construed in accordance with the laws of the State of __________.
• Notices: Any notices required by this Agreement must be in writing and delivered by certified mail or courier to the address provided.
• Entire Agreement: The Client acknowledges that this Agreement represents the entire understanding between both parties.
